1. Acceptance
These Terms of Service (“Terms”) are an agreement between you and Orvanthis LLC, an Indiana limited liability company, governing your access to Orvanthis. By creating an account, clicking to accept, purchasing a subscription, or using the Service, you agree to these Terms and the policies linked from them. If you do not agree, do not use the Service.
2. Eligibility
The Service is not directed to children under 13. You must be legally able to enter this agreement. If you use Orvanthis for an organization, you represent that you have authority to bind it, and “you” includes that organization. These Terms do not add an age threshold beyond applicable law; any market-specific eligibility rules require attorney review before adoption.
3. Service description
Orvanthis is market-intelligence and investment-research software. It includes market dashboards, canonical Signals, Opportunity Radar, qualified Opportunities, Research Drawer, Research Desk, Pinned Research, Analyst Direct, AI-assisted structured briefs, saved research, notes, preferences, source-backed market context, supported quotes and closed-candle context, market movers, Fast Moves, automated research review, tracked outcomes, bounded historical setup context, and related account and subscription functions.
4. Research-only nature of the Service
Orvanthis provides tools for research and informational purposes. It does not execute trades, accept orders, custody assets, connect to a brokerage for automated execution, or make decisions for you. You must independently verify information and decide whether and how to act.
5. No investment adviser, brokerage, or fiduciary relationship
Orvanthis is not a broker, broker-dealer, registered investment adviser, fiduciary, financial planner, securities exchange, execution platform, automated trading service, tax adviser, legal adviser, or accounting firm. The Service does not provide personalized regulated investment advice, and using it does not create an adviser-client, broker-client, fiduciary, attorney-client, accountant-client, or other professional relationship.
6. Accounts and security
Provide accurate account information, maintain control of your login credentials, and promptly notify Orvanthis@gmail.com if you suspect unauthorized access. You may not share an account in a way that evades plan limits or permits unauthorized use. Email verification may be required before accessing authenticated product features.
7. User content
You retain ownership of notes, theses, prompts, validation plans, feedback, research inputs, and other content you submit (“User Content”). Orvanthis does not acquire ownership of your User Content. You are responsible for its accuracy, legality, and your right to use it. Do not submit highly sensitive information or content that violates another person’s rights.
Saved research is under your account control, but access to it depends on account status, Service availability, and lawful retention or deletion requirements. Keep independent copies of material content you cannot afford to lose.
8. License to operate the Service
You grant Orvanthis a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display User Content only as reasonably necessary to provide, secure, troubleshoot, and maintain the Service, comply with law, and follow your instructions. This license does not authorize Orvanthis to sell your theses or notes or use private User Content to train public AI models.
9. Acceptable use
Ordinary personal and internal organizational research use is allowed. You may not:
- access accounts, data, APIs, internal routes, or systems without authorization;
- scrape, harvest, bulk-download, resell, sublicense, or commercially redistribute the Service, outputs, or market data without written permission;
- reverse engineer, decompile, probe, or attempt to discover non-public source code, model prompts, ranking logic, credentials, or security controls, except where law prohibits this restriction;
- circumvent rate limits, plan limits, authentication, data licensing, or access controls;
- introduce malware, overload or disrupt the Service, automate abusive requests, or interfere with another user;
- use the Service or outputs deceptively, unlawfully, or to violate another person’s rights; or
- represent Orvanthis research as a guaranteed result, personalized recommendation, or regulated advice.
10. Market data and third-party content
Market data, news metadata, press-release metadata, earnings context, and public information may come from third parties and remain subject to their rights and licensing restrictions. Data may be delayed, incomplete, stale, unavailable, misclassified, or revised. Provider event time is different from the time Orvanthis fetched data; a latest quote is different from a latest closed candle; and a forming candle can change before it closes.
You may use displayed content for ordinary research within the Service. You may not create a competing data feed, redistribute market data, remove source notices, or commercially exploit third-party content unless separately authorized. Loss, restriction, or failure of a provider may delay, limit, or remove features.
11. AI-assisted content
AI-assisted briefs and responses may contain errors, omissions, invented details, stale context, or unsupported interpretations. They are research assistance, not verified facts or advice. You must review source material and current evidence before relying on an output.
Deterministic discovery, review, and outcome systems are distinct from AI generation. An LLM is not permitted to autonomously rewrite core ranking weights, detector thresholds, or automated-review rules. Historical context is bounded and sample-aware; it is not a forecast.
12. Subscriptions
Paid plans are processed through Stripe Checkout. Prices, currency, billing interval, plan, included limits, and any taxes or promotions shown at checkout control the purchase. By subscribing, you authorize Stripe to charge the selected payment method on a recurring basis until cancellation.
13. Renewal
A paid subscription renews automatically at the interval shown at checkout—currently supported billing paths include monthly and yearly plans—unless it is canceled before renewal. Renewal price and timing are shown through Stripe and the billing portal, subject to applicable notice requirements.
14. Cancellation
Use the Stripe-hosted billing portal from the Billing page to manage or cancel a subscription. Cancellation stops future renewal according to the status and effective date shown by Stripe; access may continue through the paid period. Deleting an Orvanthis account does not cancel a Stripe subscription. Cancel recurring billing before deleting the account.
15. Refunds
Cancellation and refund are different. Charges are generally non-refundable after a billing period begins, except where required by law or approved under the Refund & Cancellation Policy. Orvanthis does not promise refunds based on market outcomes, use level, disagreement with research, or failure to cancel before renewal.
16. Trials and promotions
A trial, coupon, promotion, or discounted price applies only when clearly offered at checkout or in written offer terms. The current code supports Stripe promotion codes but does not establish a standing free trial. Offer-specific duration, conversion, eligibility, and renewal terms control.
17. Plan limits and fair use
Plans may include limits on Analyst requests, generated reports, features, provider-backed refreshes, storage, or other usage. Current limits are shown in the product or at purchase and may be enforced to protect reliability, provider entitlements, and fair access. You may not create multiple accounts or use automation to evade limits.
18. Service changes
We may add, change, restrict, or remove features, workflows, models, data sources, plans, or limits. When a change materially affects a paid plan, we will provide notice where required. We will not represent a discontinued or unavailable provider capability as current.
19. Availability
The Service is provided without an uptime promise. Maintenance, incidents, provider outages, entitlement changes, market closures, rate limits, or data failures may interrupt or degrade features. A provider failure does not reconfirm a setup; missing information remains missing.
20. Intellectual property
Orvanthis software, design, branding, documentation, interfaces, non-user platform content, and proprietary research workflows belong to Orvanthis LLC or its licensors. Subject to these Terms, you receive a limited, revocable, non-transferable right to use the Service for permitted research purposes during your account term. User Content remains yours, and third-party data remains subject to third-party rights.
21. Feedback
If you submit product suggestions or feedback, you permit Orvanthis to use the ideas to improve the Service without payment or attribution. This permission does not transfer ownership of your notes, theses, research files, or other User Content. Do not include confidential information in feedback.
22. Third-party services
Orvanthis relies on third-party hosting, database, email, payment, analytics, AI, market-data, and public-information services. Their terms and privacy policies may apply to their processing. We do not control their availability, licensing decisions, revisions, or failures, and links to third-party sources are not endorsements.
23. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of accuracy, completeness, timeliness, uninterrupted operation, merchantability, fitness for a particular purpose, non-infringement, or results. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
24. Limitation of liability
To the fullest extent permitted by law, Orvanthis and its providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, trading or investment losses, lost data, missed opportunities, or business interruption arising from the Service. Orvanthis does not exclude liability that cannot legally be excluded. These Terms do not currently state a monetary cap on direct liability. That provision requires qualified attorney review before adoption.
25. Indemnification
To the extent permitted by law, you agree to be responsible for third-party claims and reasonable losses caused by your unlawful use of the Service, material breach of these Terms, or infringement through User Content. Orvanthis will provide reasonable notice and allow you to participate in the defense. This section is not intended to require indemnification for Orvanthis’s own unlawful conduct.
26. Suspension and termination
You may stop using the Service and may request account deletion. Orvanthis may restrict, suspend, or terminate access for nonpayment, unlawful or abusive use, security risk, material breach, or when required by law. Where practical and appropriate, we may give notice and an opportunity to resolve the issue. Sections that by their nature should survive will survive termination.
27. Governing law
This section requires qualified attorney review before a specific governing-law provision is adopted. Nothing in these Terms is intended to waive consumer protections or other rights that cannot lawfully be waived.
28. Dispute resolution
Before filing a claim, you and Orvanthis should attempt in good faith to resolve the issue by written notice to Orvanthis@gmail.com, unless an urgent remedy or applicable law makes informal resolution inappropriate. These Terms do not include binding arbitration or a class-action waiver. Any such provisions require explicit company approval and qualified legal review.
29. Changes to these Terms
We may update these Terms as the Service or law changes. We will update the Last Updated date and identify the Effective Date. Material changes may receive additional notice where appropriate or required. Changes apply prospectively unless law permits otherwise.
30. General terms
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A waiver must be clear and does not waive later enforcement. You may not assign these Terms without consent; Orvanthis may assign them in connection with a business transfer. These Terms, the Privacy Policy, Refund & Cancellation Policy, and incorporated notices form the agreement about the Service, subject to any written order terms.
31. Contact
Questions, account-security notices, and informal dispute notices may be sent to Orvanthis LLC at Orvanthis@gmail.com. Orvanthis does not publish a private residential or registered-agent address on this website.
